Operator Agreement

1. Roles and Responsibilities

As a BUSINA Operator Partner, you agree that:

• You are solely responsible for the transportation services you offer
• BUSINA is only a technology platform and does not operate vehicles
• You retain full control of your business operations, pricing, and personnel
• You manage your own vehicles, drivers, schedules, and routes

2. Compliance with Philippine Law

You agree to comply with all applicable Philippine laws and regulations including but not limited to:

Land Transportation (LTFRB / LTO)

• Valid franchise / Certificate of Public Convenience
• Registered vehicles with current OR/CR
• Valid driver's licenses (professional)
• Compliance with fare rates and route authorizations

Bureau of Internal Revenue (BIR)

• Valid BIR Certificate of Registration
• Issuance of Official Receipts / Sales Invoices for fares collected
• Filing and payment of applicable taxes (income tax, percentage tax, VAT if applicable)
• Compliance with BIR record-keeping requirements

Local Government

• Business permit from the LGU where you operate
• Compliance with local ordinances and regulations

Data Privacy

• Compliance with the Data Privacy Act of 2012
• Protecting passenger and driver personal information

3. Accuracy of Information

You agree that all information you provide to BUSINA is accurate and complete:

• Company and owner details
• Vehicle information (number, type, class, capacity)
• Driver information (name, mobile, credentials)
• Route and schedule information
• Fare amounts and categories
• Payment information (GCash / Maya)

You agree to update this information promptly when changes occur.

4. Booking Fulfillment

When you receive a booking through BUSINA, you agree to:

• Respond to the booking promptly (within 24 hours)
• Confirm or reject the booking with clear reason if rejected
• Honor confirmed bookings with actual transport service
• Provide the vehicle class and service level advertised
• Arrive at the scheduled departure time
• Provide safe, professional service to passengers

5. Payment Handling

BUSINA does NOT process passenger payments.

You agree that:

• Passengers will pay you directly via your GCash / Maya account
• You are responsible for verifying payment before boarding
• You handle refunds and cancellation policies directly with passengers
• You issue Official Receipts to passengers if required by law
• You report fares as your business income for tax purposes

6. BUSINA Wallet and Fees

You agree to:

• Maintain a prepaid wallet balance with BUSINA
• Allow ₱10 to be deducted from your wallet per confirmed booking
• Top up your wallet when balance falls below ₱100
• Understand that bookings are suspended when wallet reaches ₱0
• Understand that GPS tracking remains active even when bookings are suspended

7. Data Sharing

You agree that BUSINA may:

• Display your company name, logo, and service information to passengers
• Show your routes, schedules, and fares publicly
• Display real-time locations of your vehicles to passengers
• Share booking information between you and the passenger
• Use anonymized data for platform analytics and improvement

8. Prohibited Actions

You agree NOT to:

• Post false or misleading information
• Accept bookings you cannot fulfill
• Overcharge passengers beyond published fares
• Operate without valid LTFRB/LTO documents
• Use BUSINA to offer illegal transport services
• Harass passengers or BUSINA staff
• Attempt to bypass the platform (e.g., direct payments to avoid fees)
• Share login credentials with unauthorized persons
• Use BUSINA for money laundering or illegal activities

9. Account Suspension and Termination

BUSINA may suspend or terminate your account if:

• You violate this Agreement or the Terms of Service
• You fail to maintain valid regulatory documents
• Passenger complaints are unresolved
• Wallet balance remains at ₱0 for an extended period
• You engage in fraudulent or illegal activity

You may also voluntarily deactivate your account at any time.

10. Indemnification

You agree to indemnify and hold harmless BUSINA, its owners, and operators from any claims, damages, or liabilities arising from:

• Your transportation services
• Your non-compliance with laws
• Passenger disputes with you
• Accidents involving your vehicles
• Tax liabilities from your operations

11. Term and Termination

This Agreement is effective upon your acceptance during registration. It remains in effect until either party terminates it (with notice) or until your account is deactivated.

12. Governing Law

This Agreement is governed by the laws of the Republic of the Philippines. Disputes shall be resolved through good-faith negotiation first, and if unresolved, in the courts of [Your City/Province].

13. Acknowledgement

By registering as an operator on BUSINA, you acknowledge that:

• You have read and understood this Agreement
• You accept all terms and responsibilities
• You will comply with all applicable Philippine laws
• You understand BUSINA is a platform, not a transport operator
